These Terms of Service (the “Terms”) govern access to and use of the websites, client portal, and related services (the “Services”) operated by Corporate Bright Limited, a company incorporated in Hong Kong (“Corporate Bright”, “we”, “us”). By creating an account or purchasing credits you agree to these Terms.
If you use the Services on behalf of a company, you confirm that you have authority to bind that company, and “you” means that company.
1. The Services
Corporate Bright provides employer-of-record and global HR services. In markets where you do not maintain a local legal entity, we (or a local partner we appoint) may employ individuals on your behalf, run payroll and statutory benefits, and administer onboarding and local filings.
The precise services for each engagement are those described in the plan you select in the client portal. We do not provide legal, tax, or immigration advice. We do not guarantee that a particular person may work in a given market; work authorisation remains a matter of local law and the facts of the case.
The public website describes the Services generally. Only the plan you purchase, together with these Terms, is the agreement for a given engagement.
2. Accounts
You must provide an accurate business email and keep your account credentials confidential. You are responsible for activity under your account.
You will not misuse the portal, attempt to circumvent payment or credit controls, or use the Services for unlawful employment, including known sham contracting or employment of people who lack permission to work.
We may suspend or close an account that we reasonably believe is being used in breach of these Terms or of applicable law.
3. Credits and plans
The portal sells prepaid credits. Credits are a payment mechanism for plans; they are not a bank deposit, electronic money, or a stored-value facility, and they have no cash value except as stated in these Terms.
Credits are prepaid. They are issued when our payment processor confirms the transaction. Prices are in Hong Kong dollars (HKD), currently one thousand Hong Kong dollars (HKD 1,000) per credit as shown in the portal.
Unused credits expire one (1) month (30 days) after the date of purchase, at 00:00 GMT+8 (Hong Kong time), unless a different period is shown at the time you buy.
Unused credits and credits spent on a plan are non-refundable, except where Hong Kong law requires a refund or we choose to refund a duplicate or clearly erroneous purchase.
Credits are not transferable to another client account without our written agreement. We may reverse credits issued in error or obtained by a payment that is later charged back.
Selecting a plan redeems the stated number of credits and starts the corresponding services, subject to information you must still provide (for example, identity details for the person to be employed).
4. Fees, payment, and processor
Prices are in Hong Kong dollars (HKD), currently one thousand Hong Kong dollars (HKD 1,000) per credit as shown in the portal. Payment is collected by a third-party processor (currently Braintree, a PayPal service). We do not receive or store full payment card numbers.
You authorise the processor to charge the payment method you present. Taxes, if any, are added where we are required to collect them.
If a payment is reversed or charged back, we may suspend services and recover the corresponding credits or amounts from you.
5. Refunds and returns
Digital credits and plans are supplied as soon as payment succeeds. Because the supply is digital and, for plans, performance may start immediately:
Unused credits and credits spent on a plan are non-refundable, including if you later cancel the underlying hire, except where Hong Kong law requires a refund or we choose to refund a duplicate or clearly erroneous purchase.
If we cannot deliver a purchased plan for reasons solely within our control, we will restore the credits spent on that plan or refund the corresponding amount, at our option.
This section is the refund and returns policy for the Services.
To request a review of a charge, write to admin@corporatebright.co with the transaction date and the email on the account.
6. Your obligations for employment services
Where we act as employer of record, you remain responsible for day-to-day direction of the individual’s work, for providing accurate role and compensation information, and for funding employment costs (salary, employer contributions, and agreed benefits) in addition to any plan fees.
You must not instruct us to do anything that would breach local employment, tax, or discrimination law. You will indemnify Corporate Bright against claims arising from your instructions, your workplace, or your breach of these Terms, except to the extent caused by our own negligence or wilful default.
7. Liability
The Services are provided with reasonable care. We do not warrant uninterrupted or error-free operation of the portal.
To the fullest extent permitted by Hong Kong law: we are not liable for indirect, incidental, special, or consequential loss, or for lost profits, lost data, or lost business; and our aggregate liability arising out of the Services in any twelve-month period is limited to the amounts you paid us for credits in that period (excluding employment costs paid onward to employees or authorities).
Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited under Hong Kong law.
8. Termination
You may stop using the Services at any time. Unused credits remain subject to expiry and the refund rules above.
We may terminate or suspend the Services if you materially breach these Terms and fail to remedy the breach within fourteen (14) days of notice, or immediately if the breach cannot be remedied or involves unlawful activity or non-payment.
On termination, plans already in performance are wound down in an orderly way so that employees are not left without a lawful employer where we still have that duty. Employment costs already incurred remain payable.
9. Governing law
These Terms are governed by the laws of Hong Kong. The courts of Hong Kong have exclusive jurisdiction, without prejudice to any mandatory right you may have to bring a claim in another forum.
10. Changes
We may update these Terms by publishing a new version on this page and revising the “last updated” date. Material changes will be notified to the email on your account where we have one. Continued use of the portal after the effective date constitutes acceptance, except where the law requires your express consent.
